Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ProEdge Operations LLC website and platform ("Service"). By using the Service, you agree to these Terms.

The Service

ProEdge provides a field service management platform that independent HVAC and plumbing contractors license to manage scheduling, dispatch, invoicing, customer communication, and related operations. Features and availability may change as we improve the Service.

Accounts

To use the platform, a contractor creates an account and is responsible for the accuracy of the information provided, for maintaining the confidentiality of account credentials, and for all activity under the account. Notify us promptly of any unauthorized use.

Acceptable use

You agree to use the Service lawfully and not to misuse it, including by attempting to access it without authorization, interfering with its operation, or using it to send unlawful, harmful, or unconsented communications. Contractors are responsible for obtaining the consents required to communicate with their own customers, including consent for text messages as described in our Messaging Terms.

Customer communications

The platform enables contractors to send service-related communications to their customers. Contractors, not ProEdge, are responsible for the content of those communications and for the customer relationships they reflect. ProEdge operates the messaging infrastructure on the contractor's behalf.

Payments

Fees for the platform are as agreed between ProEdge and the contractor. Where the platform processes payments from a contractor's customers, it does so through a third-party payment processor, and those transactions are subject to the processor's terms.

Intellectual property

The Service, including its software, design, and content, is owned by ProEdge and its licensors and is protected by law. We grant contractors a limited, non-exclusive, non-transferable right to use the Service during their subscription. Contractors retain ownership of the business data they enter.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted or error-free.

Limitation of liability

To the fullest extent permitted by law, ProEdge will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim.

Indemnification

You agree to indemnify and hold ProEdge harmless from claims arising out of your use of the Service or your violation of these Terms, including claims relating to communications you send to your customers.

Termination

Either party may terminate as provided in the applicable subscription agreement. We may suspend or terminate access for violation of these Terms or to protect the Service.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

Changes

We may update these Terms from time to time. When we do, we will revise the effective date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance.
